Terms of Service

By accessing or using a TrueGrit AI website, application, service, or integration that links to these Terms of Service (the “Services”), you agree to these terms. If you do not agree, do not use the Services.

If you use the Services for a company, law firm, laboratory, or other organization, you represent that you have authority to accept these terms for that organization. “You” then includes both you and the organization.

Labee, AttyMate, consulting engagements, and other TrueGrit AI offerings may have product-specific terms, orders, or written agreements. Those additional terms control if they conflict with these terms.

You must be at least 18 years old and legally able to enter into these terms. You may connect only accounts, pages, organizations, systems, and data that you own or are authorized to use.

You are responsible for protecting your credentials, access tokens, devices, and account access, and for promptly notifying us if you believe an account or connection has been compromised.

TrueGrit AI provides technology products, workflow consulting, implementation support, content operations, and authorized integrations. Features may identify, draft, explain, route, schedule, publish, or check information subject to the permissions and review points configured for the relevant service.

Outputs may be incomplete or incorrect and must be reviewed by a qualified person before they are relied on or used for a consequential action. TrueGrit AI does not provide legal, medical, or other licensed professional advice through the Services.

The Services may let you authorize a connection to TikTok, LinkedIn, or another third-party platform. Your use of a third-party platform remains governed by that platform’s own terms, policies, permissions, and technical limits. You must comply with those requirements.

You direct which authorized accounts and content the integration may access or manage. You may withdraw authorization through the third party’s connected-app settings. A platform may change, restrict, suspend, or discontinue its features or access, which may affect the Services.

TrueGrit AI is not sponsored, endorsed, or operated by TikTok, LinkedIn, Postiz, or another third-party platform unless expressly stated. Third-party services are independently operated.

You retain ownership of content you provide or direct the Services to access, process, or publish (“Your Content”). You grant TrueGrit AI a limited, non-exclusive right to host, copy, process, transmit, and display Your Content only as needed to provide, secure, support, and improve the Services you request.

You represent that you have all rights, permissions, and consents needed for Your Content and your instructions. You are responsible for reviewing and approving content, selecting the correct destination, and confirming that a requested action complies with applicable law, professional duties, organizational rules, and platform policies.

You may not use the Services to:

• break the law, violate another person’s rights, or breach a contract or professional duty;
• access an account, system, or data without authorization;
• publish deceptive, infringing, defamatory, abusive, or unlawful material;
• send spam, manipulate engagement, evade platform limits, or misrepresent identity or affiliation;
• introduce malware, disrupt the Services, bypass security controls, or attempt to discover source code except where the law permits; or
• use outputs as a substitute for required professional judgment, review, or approval.

We may limit or suspend access where reasonably necessary to protect the Services, users, third parties, or platform relationships, or to address suspected violations.

TrueGrit AI and its licensors retain all rights in the Services, including software, designs, documentation, trademarks, and other materials we provide. Subject to these terms and any applicable product agreement, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

You may not copy, sell, sublicense, or commercially exploit TrueGrit AI materials except as expressly allowed in writing or by applicable law.

A proposal, statement of work, order, subscription, or other written agreement will describe any fees, deliverables, ownership terms, confidentiality duties, and cancellation rights for paid services. That agreement controls over these terms for the covered work.

Unless a written agreement says otherwise, information submitted through public email or scheduling tools is not treated as confidential. Do not send privileged, patient, client, matter-specific, or other sensitive information until an appropriate agreement and secure process are in place.

Our Privacy Notice explains how TrueGrit AI handles personal information. By using the Services, you acknowledge the practices described there.

We may update, add, restrict, or discontinue features. We do not promise that the Services will always be available, uninterrupted, secure, or error-free. We may update these terms by posting a revised version at this URL and changing the effective date. Additional notice will be provided where required.

If you stop using the Services or we terminate access, provisions that by their nature should continue—including ownership, disclaimers, limits of liability, and dispute provisions—will survive.

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” TrueGrit AI disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant any particular business, legal, search, ranking, client, scientific, or professional outcome.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

To the fullest extent permitted by law, TrueGrit AI and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from or related to the Services.

To the fullest extent permitted by law, the total liability of TrueGrit AI and its personnel for claims arising from or related to the Services will not exceed the greater of US $100 or the amount you paid TrueGrit AI for the affected Service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless TrueGrit AI and its personnel from third-party claims, damages, and reasonable costs arising from Your Content, your instructions, your violation of these terms, or your unauthorized or unlawful use of the Services. This obligation does not apply to the extent a claim was caused by TrueGrit AI’s own unlawful conduct.

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute that is not governed by a separate written agreement must be brought in a state or federal court located in California that has jurisdiction over the dispute, and each party consents to that court’s jurisdiction.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these terms without our written consent; TrueGrit AI may assign them in connection with a reorganization, merger, financing, or sale of the relevant business. These terms and any applicable written agreement are the entire agreement about the Services they cover.
